1. Agreement to These Terms

These Terms & Conditions ("Terms") govern your use of the Steady Scale website and any services you purchase from us, including Steady Projects and Steady Partnerships. By booking a discovery call, signing a proposal, or engaging our services, you agree to these Terms. If you don't agree, please don't use our services.

We may update these Terms from time to time; see "Changes to These Terms" below for how that works.

2. Our Services

Steady Scale provides marketing, sales, technology, and operations support for local businesses, delivered as either:

• Steady Projects: one-time, fixed-price engagements (like The Roadmap or a Website Build) with a defined scope and deliverable.
• Steady Partnerships: ongoing monthly work across one or more of our four service areas.

The specific scope, deliverables, and price for your engagement are set out in your proposal, order form, or invoice, which forms part of these Terms. If anything in that document conflicts with these Terms, the proposal or invoice controls for that engagement.

3. Fees & Payment

Fees for Steady Projects are due as outlined in your invoice, typically before or upon delivery of the final deliverable. Fees for Steady Partnerships are billed monthly in advance.

All prices are in U.S. dollars and don't include third-party costs (like hosting, domain registration, stock photography, paid ad spend, or software subscriptions) unless we've specifically included them in your proposal.

If a payment is late, we may pause work until your account is current. Repeated late payment may be grounds for termination under "Cancellation & Termination" below.

4. Cancellation & Termination

Steady Projects can be cancelled before work begins for a full refund, minus any third-party costs already incurred on your behalf. Once work has started, fees for work completed are non-refundable.

Steady Partnerships run month-to-month after an initial minimum term (60 or 90 days, depending on your plan, as stated in your proposal). After that minimum term, either of us may cancel with 30 days' written notice. You remain responsible for fees through the end of your notice period.

We may also pause or end services immediately if you breach these Terms, don't pay on time, or ask us to do something unlawful or unethical.

5. Client Responsibilities

To do good work for you, we need your help. You agree to:

• Provide timely feedback, approvals, content, and access (like login credentials) we reasonably need to deliver the work.
• Make sure anything you give us (copy, images, testimonials, data) is accurate and that you have the right to use it.
• Review deliverables and flag concerns promptly; delays on your end may delay delivery or count against project timelines.

If a delay on your side holds up a fixed-scope project past a reasonable point, we may pause the engagement or adjust the timeline and fees.

6. Intellectual Property

Once you've paid in full, you own the final deliverables we create specifically for you, like your website, logo, or content, except for any third-party or pre-existing material (such as stock assets, licensed fonts, templates, or our own internal tools, frameworks, and processes), which remain owned by their original owners or by us and are licensed to you for use in your project.

We may reference completed work as a portfolio example unless you ask us not to.

7. Third-Party Platforms, Tools & AI

Delivering your project may involve third-party platforms and services, such as Wix for website builds, hosting providers, domain registrars, or advertising platforms. Your use of those platforms is subject to their own terms, and any fees they charge are separate from our fees unless stated otherwise.

We also use AI tools, including Claude, to help us work efficiently: research, drafting, and content support. Every deliverable is reviewed by a member of our team before it reaches you; we don't ship unreviewed AI output.

8. Confidentiality

We'll treat any non-public business information you share with us (financials, strategy, customer data) as confidential, and we won't share it outside our team except as needed to deliver your services or as required by law.

Please extend us the same courtesy with our own proprietary methods, pricing, and materials.

9. No Guarantee of Results

We bring real experience and honest effort to every engagement, but we can't guarantee specific outcomes, such as a certain amount of traffic, search ranking, sales, or revenue. Marketing, sales, and growth depend on many factors outside our control, including your market, your team's execution, and decisions made by third-party platforms. We'll always tell you what we're seeing, honestly, rather than promise a number we can't control.

10. Disclaimer of Warranties

Except as expressly stated in your proposal, our services and any related materials are provided "as is," without warranties of any kind, express or implied, including implied warranties of merchantability or fitness for a particular purpose.

11. Limitation of Liability

To the fullest extent permitted by law, Steady Scale's total liability for any claim arising from our services is limited to the amount you paid us for the specific engagement giving rise to the claim in the 3 months before the claim arose. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data, even if we've been advised they were possible.

12. Governing Law

These Terms are governed by the laws of Michigan, without regard to conflict-of-law principles. Any dispute arising from these Terms or our services will be resolved in the state or federal courts located in Michigan.

13. General

If any part of these Terms is found unenforceable, the rest remains in effect. These Terms, together with your proposal or invoice, are the entire agreement between us for your engagement and replace any earlier discussions on the same subject. You may not assign your rights under these Terms without our written consent; we may assign ours in connection with a merger, acquisition, or sale of assets.

14. Changes to These Terms

We may update these Terms occasionally to reflect changes in our services or the law. We'll post the updated version here with a new "last updated" date. Continuing to use our services after an update means you accept the revised Terms.
